J40/12835/11.07.2023, unique registration code 48471355, IBAN account RO02BTRLRONCRT0676937401, opened at Banca Transilvania, provides educational and personal development products for purchase on the website www.emotopics.com, available in digital format (accessible online) and/or in physical format, delivered by mail or courier.

By purchasing the products mentioned above, hereinafter referred to as “the products,” offered by Learngate SRL, the buyer expresses their agreement with all Terms and Conditions stipulated in this contract. Acceptance of these Terms and Conditions is done expressly by checking the corresponding box before completing the purchase process, an action that confirms the buyer has read, understood, and fully accepted the provisions of this contract.

In accordance with the provisions of the law on the protection of personal data and the rights of minors online, the registration of minors under the age of 16 on the website www.emotopics.com will be carried out exclusively by a parent or a legal representative of the minor in question, with the platform reserving the right to request confirmation of this status. The parent or legal representative will accept the Terms and Conditions of the service on behalf of the minor and will be responsible for supervising the use of the website in accordance with data protection and online security rules.

Emotopics products are materials with educational and personal development content on topics such as emotions, values, self-knowledge, and communication, designed to facilitate learning and exploring these themes in an engaging way. Products are available, as applicable, in digital format—accessible through the website www.emotopics.com—and/or in physical format, in which case they are purchased through the site and delivered to the buyer via mail or courier. These products aim to provide a way for users to easily and engagingly explore themes such as emotions, values, and other topics related to personal development. Registration on the website allows users to purchase products and access digital products.

1.2. Digital products can be accessed online, through the user’s device, after creating an account and logging in. Physical products are shipped to the delivery address indicated by the buyer when placing the order.

1.3. Digital products become available immediately after payment confirmation, by activating access in the user account or by another method indicated on the website.
In the event of technical problems independent of the will of Learngate SRL, the company will make all reasonable efforts to remedy them within a reasonable timeframe.

1.4. Accessing digital products and purchasing physical products are done for a fee, conditioned by the payment of the corresponding price. To facilitate the payment process, we offer the possibility to pay for products using Visa or Mastercard credit/debit cards. Online payments are processed through Stripe, a specialized payment service provider, using security measures in accordance with applicable standards (https://stripe.com/en-ro). Details regarding prices, delivery costs for physical products, as well as promotions offered by Learngate SRL, are available on the website.

1.5. In the event of special promotional offers, Learngate SRL reserves the right to determine eligibility for these offers at its own discretion. Eligibility requirements and any other limitations associated with the respective offer will be explicitly communicated to you when you access said offers. It is important to carefully read all conditions and restrictions associated with the offer to ensure you meet all requirements and are aware of all applicable Terms and Conditions.

1.6. The contract between Learngate SRL and the buyer is considered concluded at the moment the buyer receives the order acceptance confirmation sent by email, following the successful completion of the payment process. Automatic confirmation of order receipt does not represent its acceptance, but only confirmation of the request being recorded in our system.

1.7. Order procedure
To purchase products, the user will follow the steps indicated on the website, namely:

  • selecting the desired products;
  • entering billing information and, if applicable, the delivery address;
  • choosing the payment method;
  • verifying the entered data and the possibility of correcting any errors before submitting the order;
  • accepting the Terms and Conditions;
  • completing the order by making the payment.

After submitting the order, the user will receive a confirmation email regarding its registration.

1.8. An invoice is issued for all orders in accordance with applicable fiscal legislation. The invoice will be sent in electronic format to the email address provided by the buyer at the time of placing the order.
By placing the order, the buyer expresses their agreement to receive the invoice in electronic format.

2.1. To access digital products, users must create an account on the website. Users under 16 must create their account under the supervision of parents or guardians.

2.2. Users must maintain the confidentiality of their account password and notify us urgently in case of suspected unauthorized access. Publishing materials of an offensive or malicious nature on the website is prohibited.

2.3. Users can request account deletion at any time. Learngate SRL may suspend or delete accounts of users who violate the provisions of these Terms and Conditions, under the conditions set out in art. 2.4.

2.4. Learngate SRL may temporarily or permanently suspend a user’s access to the website in case of violation of these Terms and Conditions, fraudulent use of services, infringement of the rights of other users, or conducting activities contrary to the law.
Before permanent suspension, the user may be notified and given the opportunity to provide explanations, except for situations requiring immediate intervention.
Account suspension does not affect consumer rights over products already purchased, except as provided by law.

2.5. Users are obliged to adopt appropriate behavior and language in their interactions with other users and the provider. Otherwise, we reserve the right to take measures, including restricting access to the website, to maintain a respectful and safe environment for all users.

  1. Delivery of physical products

3.1. Physical products are delivered by mail or courier to the address indicated by the buyer at the time of placing the order. The estimated delivery time is up to 5 business days from order confirmation, and delivery costs are displayed on the website before the order is finalized.

3.2. The buyer has the obligation to provide a correct and complete delivery address. The provider is not responsible for delays or the impossibility of delivery caused by erroneous or incomplete delivery data provided by the buyer.

3.3. The risk of loss or damage to physical products is transferred to the buyer at the moment they or a third party designated by them enters into physical possession of the products.

3.4. If the physical product arrives damaged or does not correspond to the order, the buyer is asked to contact us as soon as possible at the email address indicated in the Contact section to remedy the situation (replacement of the product or refund of its value).

3.5. In the event that a ordered physical product is no longer available for reasons beyond the control of Learngate SRL, the buyer will be informed as soon as possible and may choose a full refund of the amounts paid or, if available, a similar product.

  1. Right of withdrawal

4.1. Physical products
A buyer who has the status of a consumer, within the meaning of applicable legislation, has the right to withdraw from the contract without invoking a reason and without incurring costs other than those provided by law, within 14 calendar days from the date on which they or a third party designated by them, other than the carrier, enters into physical possession of the product.
To exercise the right of withdrawal, the consumer must send Learngate SRL an unequivocal statement regarding their decision to withdraw from the contract before the withdrawal period expires.
The consumer is only responsible for the decrease in the value of the product resulting from handling it beyond what is necessary to determine the nature, characteristics, and functioning of the product.
Direct costs related to returning the product are borne by the consumer, except as provided by law, including when the product is non-compliant, damaged, or delivered in error.

4.2. Digital products
In the case of digital products not delivered on a material support, the consumer benefits from the right of withdrawal within 14 days of concluding the contract, under the conditions provided by law.
In accordance with art. 16 lit. m) of GEO no. 34/2014, the right of withdrawal does not apply in the case of supplying digital content not delivered on a material support if the performance of the contract has begun with the consumer’s prior express consent and they have confirmed being aware that they will lose their right of withdrawal once the performance of the contract begins.
By checking the dedicated box before finalizing the order and by effectively accessing the digital product, the consumer expresses their express consent for the immediate start of supplying the digital content and confirms understanding and accepting the loss of the right of withdrawal, under the conditions provided by law.

4.3. Exercising the right of withdrawal
To exercise the right of withdrawal, the consumer can send an unequivocal statement to the email address indicated in the “Contact” section before the legal withdrawal period expires.
Learngate SRL will confirm receipt of the request by email without undue delay.

4.4. Refund of sums paid
In the case of a valid exercise of the right of withdrawal, Learngate SRL will refund all sums received from the consumer, including standard delivery costs, if applicable, without undue delay and at the latest within 14 calendar days from the date it was informed of the withdrawal decision.
The refund will be made using the same payment method used for the initial transaction, unless the consumer expressly requests another refund method and it can be applied without additional costs.
In the case of physical products, Learngate SRL may delay the refund until the products are received back or until proof of shipment is provided, whichever is earlier.

4.5. Good faith exercise of the right of withdrawal
Learngate SRL respects the legal right of consumers to withdraw from the contract and encourages its exercise in good faith.
In exceptional situations where there are objective indications of abusive use of the right of withdrawal, such as repeated and systematic orders followed by returns without reasonable justification and in a manner that exceeds the normal exercise of rights conferred by law, Learngate SRL reserves the right to refuse future orders, while respecting the principle of good faith and without prejudice to consumer rights provided by law.

  1. Legal guarantee

Physical products benefit from the legal guarantee of conformity provided by current Romanian legislation.
In case of non-conformity, the consumer benefits from all rights provided by law, including repair, replacement of the product, appropriate price reduction, or termination of the contract, as applicable.
This clause does not limit the rights conferred on consumers by law.

  1. Limitation of liability

6.1. Learngate SRL exercises all reasonable diligence to ensure that information published on the website, as well as products and services offered, are correct, complete, and updated. However, there may be material, technical, or editorial errors, which will be remedied within a reasonable timeframe after their discovery.

6.2. Learngate SRL does not guarantee that the website will function without interruptions, delays, errors, or vulnerabilities generated by factors beyond its reasonable control, including communication network interruptions, failures of third-party service providers, cyber attacks, maintenance work, or other similar events.
The company will make all reasonable efforts to restore the normal operation of services in the shortest possible time.

6.3. Learngate SRL is not liable for damages resulting from improper use of products, failure to follow instructions for use, or use for purposes other than those for which they were designed.

6.4. The user is responsible for maintaining the confidentiality of the login data associated with their account and for all activities carried out through it until Learngate SRL is notified of possible unauthorized access.
Learngate SRL is not liable for damages resulting from the voluntary disclosure of login data by the user or from unauthorized account use due to user negligence.

6.5. Learngate SRL reserves the right to temporarily suspend the operation of the website to perform maintenance, updates, or improvements, as far as these are necessary for the proper functioning and security of services.
As far as possible, users will be informed in advance of such interruptions.

6.6. To the extent permitted by law, Learngate SRL is not liable for indirect damages, loss of opportunities, loss of profit, loss of data, or other similar damages that are not the direct and predictable consequence of the breach of its contractual obligations.

6.7. In the event that Learngate SRL’s liability is engaged under the law, the damages owed cannot exceed the value of the product or service that generated the damage, except as otherwise provided by law or if the damage was caused intentionally or through gross negligence.

6.8. No provision in this chapter limits or excludes consumer rights conferred by applicable legislation, nor Learngate SRL’s liability in cases where it cannot be limited or excluded by law.

9.3. Access to digital products is granted for an indefinite duration, as long as the platform and the product are maintained by Learngate SRL, without prejudice to the acquired rights of consumers and the legal obligations of the company.

9.4. Learngate SRL reserves all rights not explicitly granted under these Terms and Conditions, including the right to make changes and improvements to the website without prior notice to users.
